Answer # 1

The next step which would be proposed to the client is to again set up a meeting for forming a merger or alliance between the Dunwich Slipway Company and Dunwich Marine Repair. After 5 years since it’s the last meeting between the DSC and DMR, and its decision is in decline to form a merger, most of the companies in the Dunwich Port had been disbanded due to the port being decayed and the fishing limitation. However, the Slipway demand on the Dunwich Port had increased significantly due to UK government announced for investing on the wind farms located offshore in the North Sea. One of the areas was Dunwich Port for maintaining vessels for the wind turbines which was a good opportunity for the Port to improving its condition.

The Dunwich Slipway Company which dealt in slipping vessels to the water and the Dunwich marine which provided its repairing services to the vessels were dependent on each other. The merger or alliance between the two companies would be effective for improving the Dunwich Port. The Slipway was in a poor condition and required huge investment for repairing and fixing. It was estimated that the cost of repairing the Slipway would be around millions of dollars.

During the last meeting, it was decided that the outward trade missions, maintaining records and defence tenders would be placed to the Dunwich Port Authority. Overall the activity of the business would be handled by another outsourced CEO in which both the companies declined the proposal flat. The consultant in this meeting should try to convince both the companies to merge by forming a professionally managed structure in which the business would have separate functions of operations. The consultant should again try to get the finance from the same source which is the East Finance for financing on the local expansion and improving the condition of the port but should encourage the East Finance for not taking control over the companies. The merger and the alliance should not impact on each other’s company’s culture and structure which would cause conflicts among the members and intrude its working environment.  If the two companies still disagree upon merging then the best course of action would be to sell off Dunwich Port as the only option for the port survival would be if the two company forms an alliance and a merger supporting each other activities and also investing on repairing the slipway. The merger or alliance between the two companies would be effective for improving the Dunwich Port.

The consultant had been hired to exploit the massive investment on the wind farms located offshore in the North Sea that would improve the overall condition of the Dunwich Port. The consultant decision was to improve the port conditions by the merging of the two major companies in the Dunwich Port which were dependent on each other. The companies are Dunwich Marine Repair and Dunwich Slipway Company to a single firm which would be known as the Dunwich Marine Company.
