Of all the issues, boards of directors, executives and managers face, it can be argued that unethical corporate event is one of the most significant in terms of its potential impacts, as well as one of the most difficult to properly address. The article states that the three key elements must exist if illegal or unethical activity within and on behalf of the organization should be minimized by developing and maintaining ethical corporate culture. These three elements are (1) the existence of an ethical values give the entire organization in their policies, processes and practices, (2) the creation of a formal program of Ethics, including the Code of Ethics, ethics, education, professional ethics, and ethics, and (3 ) the constant presence of ethical leadership, that is the appropriate "tone at the top, as reflected in the board of directors, executives and managers. While each of these three elements are distinct, they also intersect, touch, and reinforce each other.
