Excited due to high profile scandals, investor dissatisfaction with board performance and questions about the amount of executive compensation, substantial reforms have been introduced by regulators in the rules that regulate boards. But will such reforms really promote the effectiveness of boards? A real risk exists the changes that are mandated will fail to improve how businesses are regulated but could potentially cause several negative effects that are unintended.They focused on 3 areas: board direction, the states and the performance evaluations of individual board members, boards, and CEOs.
