In the year 2011, Sarah Naude and Matt Stanley sat down with the chairman of Telecom New Zealand, Wayne Boyd. Telecom, a publicly listed firm as well as the biggest telecom provider in New Zealand, was being divided into two publicly traded firms, Chorus, a telecom infrastructure firm, and new Telecom, a telecom services retail supplier.
In connection with this schism, Naude and Stanley were charged with supervising the process of creating two new boards of directors for all these firms. As part of this procedure, the team reduces a preliminary record of nominees to a short list, defines what abilities the new boards need, and reviews the roles and responsibilities of a board. They need to now use this short list to create two boards that are strong.
